Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of LocusBIM software and services provided by LocusBIM Inc. ("LocusBIM", "we", "us"). By downloading, installing, or using the software, you agree to these Terms. If you do not agree, do not use the software.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.

2. License Grant

2.1 Permitted use

Subject to these Terms and payment of applicable fees, LocusBIM grants you a limited, non-exclusive, non-transferable license to install and use the software on devices you own or control, solely for your internal business purposes.

2.2 Seat licensing

Each Individual-tier license key authorizes activation on exactly one machine, identified by a hardware fingerprint. You may reinstall LocusBIM on the same machine at any time and your license resumes automatically. Team and Enterprise licenses include additional seats as specified in your subscription. Sharing a license key beyond your subscribed seat count is a material breach and may result in immediate deactivation without refund. Moving a license to a different machine requires support assistance and is subject to anti-abuse review.

2.3 Free trial

LocusBIM may be used without a license key for a 30-day evaluation period with full functionality. No credit card is required to start a trial. After the trial period, a valid license key is required to continue use.

2.4 Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the software except to the extent permitted by applicable law
• Remove or alter any proprietary notices or labels
• Sublicense, resell, or redistribute the software without written permission
• Use the software to provide services to third parties (SaaS, bureau services) without an explicit agreement
• Circumvent or disable license validation mechanisms

3. Fees and Payment

3.1 Pricing

Current pricing is published at locusbim.com/pricing. Prices are in Canadian dollars unless otherwise stated and are subject to applicable taxes.

3.2 Billing

LocusBIM annual licenses are billed as a single one-shot payment covering 12 months of service, and they do NOT auto-renew. At the end of your 12-month term, your license simply expires unless you initiate a new purchase. We chose this default because:

• It matches the procurement workflow at most Architecture and Engineering firms — annual requisition, purchase order, accounting approval.
• It avoids the "click to subscribe, hard to cancel" pattern that European and several North American consumer-protection regulators have moved to restrict.
• You decide whether LocusBIM is worth renewing — every year, on purpose.

If automatic renewal fits your team's workflow better, you can opt in via your LocusBIM account. Opt-in renewals charge the card on file 7 days before expiry, with a notification email at the same time. You can opt back out in one click at any point, including after the renewal notification email arrives. If you opt out within 7 days of a successful auto-renewal, you receive a full refund (no questions asked, no pro-rating required).

For firms purchasing via purchase order, invoice, or cheque, contact billing@locusbim.com at least 14 days before your desired start date so we can issue an invoice that meets your accounting team's requirements.

Payment is processed by Square Inc. on our behalf. Stripe-style "subscription" terminology does not apply to the default LocusBIM purchase — you are buying a 12-month license, not a recurring service.

3.3 Refunds

We offer a 14-day money-back refund on the initial annual purchase, no questions asked. Contact billing@locusbim.com to request a refund within 14 days of purchase. Approved refunds are processed within 5–10 business days to the original payment method, and the associated license is deactivated on the next license-verification ping (typically within 30 days, sooner if you open the app).

After 14 days, refunds are at our sole discretion and reviewed case-by-case. Subscription renewals are not refundable except where required by applicable consumer-protection law. Mid-period cancellations do not generate a pro-rated refund; you retain access through the end of the paid period.

3.4 Renewal reminders + non-renewal

We send three renewal reminder emails: 60 days, 30 days, and 7 days before your annual license expires. Each reminder includes the renewal price + payment options (credit card OR invoice/PO for procurement workflows).

If you do not renew before the expiry date, your license enters a 30-day post-expiry grace period during which LocusBIM operates in read-only mode (you can still view and export your work but cannot create new markups or sync). After the 30-day grace, the license expires fully and the app reverts to trial-prompting mode. Your project data remains on your device throughout and is never deleted by license expiry.

If a charge fails on an opt-in auto-renewal, you have a 14-day grace period to update your payment method before the same expiry staircase begins.

4. Your Data

All project files, markups, models, and issues you create are stored locally on your device. LocusBIM does not access, process, or transmit your project data. You retain full ownership of and responsibility for your data.

If you use LocusSync (coming in Phase 6), you grant LocusBIM a limited right to transmit and temporarily store your project data on our Canadian servers solely to provide the real-time collaboration feature. This data is encrypted in transit and at rest.

5. Intellectual Property

The LocusBIM software, including all code, graphics, and documentation, is owned by LocusBIM Inc. and protected by Canadian copyright law and international treaties. These Terms do not transfer any intellectual property rights to you.

You retain all rights to content you create using the software (markups, issues, reports, exported PDFs).

6. Third-Party Components and Integrations

The software includes open-source components distributed under their respective licenses (MIT, Apache 2.0, BSD). A complete list of third-party licenses is available in the application under Help → About → Open Source Licenses.

LocusBIM integrates with third-party software including Autodesk Revit, AutoCAD, Bentley MicroStation, and Bentley ProjectWise through separate plugin modules. These integrations are provided "as is" and their behaviour may change if the third-party vendor modifies their APIs. We make commercially reasonable efforts to maintain compatibility but disclaim any liability for breakage caused by third-party changes outside our control.

6.1 AI-Assisted Features

LocusBIM includes AI-assisted features such as cost classification, takeoff suggestions, regression detection, and BCF reconstruction. These features produce suggestions, not professional advice. You remain solely responsible for verifying the accuracy of any AI-generated output before relying on it for design, construction, regulatory, or business decisions. We make no representation that AI-generated content is fit for any particular purpose or compliant with any standard, code, or jurisdiction-specific requirement.

7. Updates and Support

7.1 Updates

Active subscriptions receive all software updates released during the subscription period. We may release updates that change functionality; material removals of features will be communicated at least 60 days in advance.

7.2 Support

Email support is provided to all paid customers at support@locusbim.com. Professional plan customers receive priority response. Enterprise customers receive dedicated support per their agreement.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LOCUSBIM DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

Some jurisdictions do not allow exclusion of implied warranties. In such jurisdictions, the above exclusion applies to the extent permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCUSBIM INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LOCUSBIM'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise).

10. Indemnification

You agree to indemnify and hold harmless LocusBIM Inc. and its officers, directors, and employees from any claim, loss, or expense (including reasonable legal fees) arising from your use of the software in violation of these Terms or applicable law.

11. Termination

You may terminate your subscription at any time by deactivating your license key through the application. Termination takes effect at the end of your current billing period. No refunds are issued for the unused portion of a billing period unless within the 14-day refund window described in Section 3.3.

We may terminate or suspend your license immediately if you materially breach these Terms and fail to cure the breach within 10 days of written notice.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute shall be resolved in the courts of Ontario, and you consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be surfaced in-app at your next launch and require re-acceptance to continue using the software. Non-material changes (typos, clarifications) are posted here and noted in the "Last updated" date above. We will notify active subscribers of material changes by email at least 30 days before they take effect.
